1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Cruitical, Inc., a Delaware corporation (“Cruitical,” “we,” “us,” or “our”). By accessing or using the Cruitical platform, including the Candidate Passport Generator and any related services (collectively, the “Service”), you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Cruitical is an AI-powered hiring platform that replaces resume-driven screening with structured, AI-evaluated assessments. The Service currently includes:

  • Candidate Passport Generator: An AI-powered tool that analyzes your resume, professional background, and publicly available information to generate a comprehensive candidate profile (“Candidate Passport”). The Passport evaluates your fit for specific roles and companies, identifies adjacent career opportunities, and provides actionable feedback on your professional profile.

The Service uses artificial intelligence, including large language models and web research agents, to process and evaluate candidate information. For details on how AI is used, please review our AI Transparency Notice and Privacy Policy.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Alpha Release Disclaimer

The Service is currently in an alpha release stage. This means:

  • The Service is provided on an “as-is” and “as-available” basis.
  • Features, functionality, and availability may change without notice.
  • The Service may contain bugs, errors, or inaccuracies.
  • AI-generated assessments, scores, and recommendations are informational and should not be treated as definitive evaluations of your professional capabilities.
  • We do not guarantee uptime, reliability, or accuracy of any outputs.

By using the Service during this alpha stage, you acknowledge and accept these limitations.

5. User Accounts and Registration

To use certain features of the Service, you may be required to provide information such as your name, email address, and resume. You agree to:

  • Provide accurate, current, and complete information.
  • Not impersonate any person or entity or misrepresent your identity or qualifications.
  • Not create accounts on behalf of others without their explicit consent.
  • Keep any account credentials confidential and notify us promptly of any unauthorized access.

6. User Content

6.1 Your Data

You retain ownership of all content you submit to the Service, including your resume, personal information, and any other materials (“User Content”). By submitting User Content, you grant Cruitical a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your User Content solely for the purposes of:

  • Generating your Candidate Passport and related assessments.
  • Sharing your Candidate Passport and profile with prospective employer partners, as described in our Privacy Policy.
  • Improving and developing the Service.

6.2 AI-Generated Content

The Candidate Passport and any assessments, scores, recommendations, or other outputs generated by the Service (“AI-Generated Content”) are produced using artificial intelligence and are based on the information you provide and publicly available data. You acknowledge that:

  • AI-Generated Content may contain inaccuracies, errors, or incomplete information.
  • AI-Generated Content does not constitute professional career advice, employment guarantees, or definitive evaluations.
  • You are responsible for reviewing AI-Generated Content for accuracy before relying on it.
  • Cruitical does not guarantee that AI-Generated Content will result in employment opportunities.

6.3 Sharing with Employer Partners

Cruitical works with employer partners, including AI startups, FinTech companies, and B2B SaaS companies, to connect candidates with opportunities. By using the Service, you acknowledge that your Candidate Passport and related profile data may be shared with these employer partners for the purpose of evaluating your candidacy for open positions. You may opt out of employer sharing at any time by contacting us at [email protected].

7. Acceptable Use

You agree not to:

  • Submit false, misleading, or fraudulent information, including fabricated credentials or work history.
  • Use the Service to harass, harm, or discriminate against any person.
  • Attempt to reverse-engineer, decompile, or extract the algorithms, models, or methods underlying the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission.
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
  • Use the Service for any unlawful purpose.
  • Resell, redistribute, or commercially exploit the Service or any AI-Generated Content without our written permission.

8. Intellectual Property

8.1 Cruitical’s IP

The Service, including its software, algorithms, models, design, branding, and documentation, is owned by Cruitical and protected by intellectual property laws. Nothing in these Terms grants you any right to Cruitical’s intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant Cruitical a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

9. Third-Party Services

The Service relies on third-party providers for AI processing, cloud infrastructure, and other functionality. These include, but are not limited to, Google (Gemini AI), OpenAI, and Amazon Web Services. Your use of the Service is also subject to the terms and policies of these third-party providers to the extent applicable. Cruitical is not responsible for the practices or policies of third-party providers.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
  • CRUITICAL DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
  • CRUITICAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
  • CRUITICAL DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, ASSESSMENTS, SCORES, OR RECOMMENDATIONS.
  • CRUITICAL IS NOT AN EMPLOYMENT AGENCY AND DOES NOT GUARANTEE EMPLOYMENT OUTCOMES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRUITICAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

CRUITICAL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CRUITICAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Cruitical and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.

13. Modifications

Cruitical reserves the right to modify these Terms at any time. We will notify you of material changes by updating the “Last Updated” date and, where practicable, by providing notice through the Service or via email. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

We also reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, particularly during this alpha release stage.

14. Termination

You may stop using the Service at any time. Cruitical may suspend or terminate your access to the Service at any time, for any reason, without prior notice. Upon termination, your right to use the Service ceases immediately. To request deletion of your data upon termination, contact [email protected].

Sections 6.2, 8, 10, 11, 12, and 15 shall survive any termination of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or related to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, with arbitration taking place in Delaware or remotely, at Cruitical’s discretion. You agree to waive any right to a jury trial or to participate in a class action.

16. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Cruitical’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Entire Agreement: These Terms, together with the Privacy Policy and AI Transparency Notice, constitute the entire agreement between you and Cruitical regarding the Service.
  • Assignment: You may not assign your rights or obligations under these Terms without Cruitical’s prior written consent. Cruitical may assign its rights and obligations without restriction.
